End User Licence Agreement

1. Agreement

This End User Licence Agreement ("EULA") is a legal agreement between you ("you", the licensee) and Leo Bradley, an individual trading as LDT ("we", "us", "our", the licensor), for the TradeClone software (the "Software"). By installing, activating or using the Software you agree to this EULA. If you do not agree, do not install or use the Software.

2. Licence granted

We grant you a personal, limited, non-exclusive, non-transferable and revocable licence to install and use the Software for your own use, on the number of machines permitted by the licence you have purchased. The Software ties a licence to a single machine using a hashed machine identifier; activating on a different machine may require a reset by us.

3. Subscription dependency

Where the Software is licensed on a subscription, this licence is valid only while your Whop membership/subscription is active and paid. When your membership ends or lapses, this licence terminates and the Software will stop functioning.

4. Restrictions

You must not:

• copy the Software except for a single backup, or distribute, resell, rent, lease, lend, sublicense or otherwise make it available to others;
• share, publish or transfer your licence key;
• reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software, except to the limited extent that applicable law expressly permits despite this restriction;
• circumvent, disable or interfere with the licensing, activation or validation mechanisms;
• remove or alter any proprietary notices; or
• use the Software to develop a competing product.

5. Ownership

The Software, including all code, design and the TradeClone and LDT branding, is owned by us and protected by intellectual-property laws. You receive only the licence expressly granted above; all other rights are reserved.

6. NinjaTrader and third parties

The Software is an add-on that requires a separately licensed installation of NinjaTrader 8. We are not affiliated with, endorsed by or sponsored by NinjaTrader, and "NinjaTrader" is a trademark of its respective owner. You are responsible for complying with the terms of NinjaTrader, your broker, data feed and any prop-firm or exchange.

7. No warranty

The Software is provided "as is" and "as available", without warranty of any kind. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and that the Software will be uninterrupted or error-free or that orders will be copied correctly, in time, or at all.

8. Risk and no advice

The Software is a tool, not financial advice. Trading involves a substantial risk of loss; you are solely responsible for all trading decisions, configuration, monitoring and outcomes. Test the Software thoroughly on simulation accounts before using it with real money.

9. Limitation of liability

To the fullest extent permitted by law, we are not liable for any trading losses, lost profits, loss of data, or any indirect or consequential loss arising from your use of or inability to use the Software. Our total aggregate liability shall not exceed the fees you paid for the Software in the twelve (12) months before the event giving rise to the claim. Nothing excludes liability that cannot be excluded by law, and your statutory consumer rights are not affected.

10. Termination

This licence terminates automatically if you breach it or when your subscription ends. On termination you must stop using the Software and remove it from your devices. Sections that by their nature should survive termination (ownership, warranty disclaimers, liability limits) continue to apply.

11. Updates

We may, but are not obliged to, provide updates, and we may change or discontinue features of the Software. Updates are provided under this same EULA unless we say otherwise.

12. Governing law

This EULA is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protections of your country of residence.
